Terms of Service

These Terms of Service (the “Terms”) are an agreement between you and [COMPANY NAME] (“Origami”, “we”, “us”) governing your use of the Origami portfolio-tracking application at tradeorigami.com (the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. The Service

Origami is a tool for tracking investment portfolios: it imports positions, transactions, and income from brokerage accounts you connect or files you upload, and presents them in tables, charts, and summaries. The Service is informational only — it is not investment, legal, or tax advice, and we are not a broker-dealer or investment adviser. Our Disclosures page is part of these Terms and describes these limits in detail.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. You may only use the Service for your own personal, non-commercial portfolio tracking unless we agree otherwise in writing.

3. Your account

• Provide accurate registration information and keep it current.
• Keep your password and any linked sign-in method (such as Google) secure. You are responsible for activity that happens under your account.
• Tell us promptly at support@tradeorigami.com if you suspect unauthorized access.

4. Subscriptions, trials, and billing

Every new account starts with a 14-day free trial of all features. No payment method is required for the trial, and it never converts into a paid plan automatically.

Continued use after the trial requires a paid subscription. Plans are billed monthly or annually, in advance, through our payment processor Stripe. Subscriptions renew automatically at the end of each billing period until canceled. Plans include usage allowances (for example, the number of linked brokerage connections and monthly Ask Origami messages); we may enforce these limits in the product. We may change prices with at least 30 days' notice; changes take effect at your next renewal.

5. Cancellation and refunds

• You can cancel anytime from your billing settings. Cancellation takes effect at the end of the current billing period — you keep full access until then.
• Payments are non-refundable, and we do not prorate partial periods, except where required by law or decided by us case by case (write to support@tradeorigami.com).
• If your subscription lapses, your data is not deleted: it remains visible and exportable in read-only mode. You can resubscribe at any time to resume editing and syncing.

6. Brokerage connections and third-party services

You can connect brokerage accounts through Plaid, our data-aggregation provider. By linking an account you authorize us, through Plaid, to retrieve account data such as holdings, balances, and transactions on a read-only basis. We never receive or store your brokerage credentials, and the Service cannot place trades or move money. Your use of Plaid is also subject to Plaid's own terms and privacy policy. Payments are processed by Stripe, and optional sign-in is provided by Google; their terms apply to those services.

7. Your data

You own the portfolio data you import or enter. You grant us the limited rights needed to host, process, back up, and display that data in order to operate and improve the Service. We do not sell your data. You can export your data, and you can delete your account, at any time — see the Privacy Policy for details.

8. Acceptable use

You agree not to:

• use the Service for anything unlawful, or upload data you have no right to use;
• probe, breach, or test the security of the Service, or access other users' data;
• scrape, crawl, or access the Service by automated means other than interfaces we document, or circumvent plan limits or rate limits;
• resell, redistribute, or commercially exploit the Service or its market data;
• reverse engineer the Service except where the law allows it despite this term.

9. Market data and Ask Origami

Quotes, prices, and other market data come from third-party sources and may be delayed, incomplete, or inaccurate. Derived figures (cost basis, P/L, yield, IRR, and similar) are estimates that depend on the data imported. Ask Origami, our AI assistant, generates responses automatically; they can be wrong and are never investment advice. Always verify against your brokerage's records before making decisions.

10. Intellectual property

The Service — its software, design, and content other than your data — belongs to [COMPANY NAME] and its licensors. If you send us feedback or suggestions, we may use them without obligation to you.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DATA WILL BE ACCURATE OR COMPLETE.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, [COMPANY NAME] WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR INVESTMENT LOSSES, ARISING FROM OR RELATED TO THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS IS LIMITED TO THE GREATER OF $100 OR THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

13. Indemnification

You will indemnify and hold harmless [COMPANY NAME] from claims, damages, and expenses (including reasonable attorneys' fees) arising from your breach of these Terms or misuse of the Service.

14. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you materially breach these Terms, if required by law, or if we discontinue the Service (in which case we will give reasonable notice so you can export your data). Sections that by their nature should survive termination (including 7 and 10–13) survive.

15. Changes to these Terms

We may update these Terms from time to time. For material changes we will notify you — by email or in the app — before they take effect. Continuing to use the Service after changes take effect means you accept them.

16. Governing law

These Terms are governed by the laws of the State of [STATE], without regard to its conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in [STATE], and you consent to their jurisdiction.
